Terms and Conditions for wagl.
Effective Date: January 13, 2025
These Terms and Conditions (“Agreement”) govern your use of the wagl mobile application (“App”), operated by wagl Inc. (“we,” “us,” or “our”). By accessing or using the App, you agree to be bound by these Terms and Conditions, as well as any other policies or guidelines referenced herein. If you do not agree to these terms, please do not use the App.
1. Eligibility
You must be at least 13 years old to use this App. By using the App, you represent and warrant that you meet the eligibility requirements. If you are under the age of 13, you may not use the App, and we will not knowingly collect personal information from children under 13.
2. Account Registration
To access certain features of the App, you may be required to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.
If you believe your account has been compromised, please notify us immediately at support@wagl.app.
3. Use of the App
You agree to use the App only for lawful purposes and in accordance with these Terms and Conditions. You agree not to:
- Violate any applicable laws, rules, or regulations.
- Engage in any activity that could harm, disable, or overload the App or interfere with other users’ access to the App.
- Post or share content that is illegal, harmful, defamatory, obscene, abusive, or otherwise objectionable.
- Infringe the intellectual property rights of others.
- Use the App to collect or harvest personal data from other users without their consent.
We reserve the right to suspend or terminate your access to the App at any time for violations of these Terms and Conditions.
4. User Content
The App allows users to create, upload, share, and view content such as lists, places, photos, comments, and other media (collectively, “User Content”). You retain ownership of any User Content you post, but by submitting it to the App, you grant us a worldwide, royalty-free, non-exclusive license to use, display, distribute, and modify that content to operate and promote the App.
You are solely responsible for the User Content you post, and you agree to indemnify us against any claims arising from that content. We do not pre-screen or monitor User Content, but we reserve the right to remove any content that we, in our sole discretion, deem to violate these Terms and Conditions or be otherwise inappropriate.
5. Prohibited Conduct
You agree not to engage in the following prohibited conduct while using the App:
- Engaging in any fraudulent, deceptive, or malicious activity.
- Using the App to transmit viruses, malware, or other harmful software.
- Impersonating any person or entity, including but not limited to our employees or other users.
- Attempting to gain unauthorized access to other accounts, systems, or networks through the App.
We reserve the right to take appropriate legal action, including criminal prosecution, for any violations of these Terms and Conditions.
6. Privacy
Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and share your personal data. By using the App, you consent to the collection and use of your data in accordance with our Privacy Policy, accessible via: wagl.app/privacy.
7. Third-Party Links
The App may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of third-party websites or services. You access such third-party sites at your own risk, and we encourage you to read their terms and privacy policies before engaging with them.
8. Intellectual Property
The App and all of its content, including text, graphics, logos, images, and software, are the property of wagl Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, copy, modify, or distribute any of the App’s content without our prior written consent, except as permitted by the functionality of the App or under applicable law.
9. Termination
We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to a violation of these Terms and Conditions. Upon termination, your right to use the App will immediately cease, and you must stop using the App and delete any related content you have stored.
10. Disclaimers
The App is provided “as is” and “as available,” without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will meet your requirements or that its operation will be uninterrupted, secure, or error-free.
We are not responsible for any loss, damage, or injury arising from your use of the App, including but not limited to any loss of data or content, or any issues arising from third-party services linked to the App.
11. Limitation of Liability
To the fullest extent permitted by law, wagl Inc. and its affiliates, partners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from your use of the App shall not exceed the amount you have paid us, if any, in the last 12 months.
12. Indemnification
You agree to indemnify and hold harmless wagl Inc. and its affiliates, partners, officers, employees, and agents from any claims, losses, damages, liabilities, or expenses (including legal fees) arising out of your use of the App, your violation of these Terms and Conditions, or your violation of any third-party rights.
13. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of Texas. Any dispute arising out of or relating to these Terms and Conditions shall be resolved through binding arbitration in Houston, Texas, and not in a court of law. The arbitration shall be conducted in English.
14. Modifications to the Terms
We may update or modify these Terms and Conditions from time to time. When we do, we will post the updated version in the App and update the “Effective Date” at the top of this page. Your continued use of the App after any such changes constitutes your acceptance of the new Terms and Conditions.
15. Severability
If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision will be severed from these Terms and Conditions, and the remaining provisions will remain in full effect.
16. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and [Company Name] regarding your use of the App.
